By accessing or using AgendaIQ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

AgendaIQ is a smart meeting management platform that provides:

• Meeting scheduling and management
• Agenda creation and tracking
• Action item management
• Note-taking with visibility controls
• AI-powered search and summaries (Premium/Enterprise)
• Google Workspace and Microsoft 365 integrations

3. User Accounts

3.1 Registration

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must notify us immediately of unauthorized access

We may suspend or terminate accounts that:

• Violate these Terms
• Engage in fraudulent activity
• Remain inactive for 12+ months (Free tier)

4. Acceptable Use

4.1 You May

• Use the Service for lawful business purposes
• Share meeting content with authorized participants
• Integrate with approved third-party services
• Export your data in standard formats

4.2 You May Not

• Share account credentials
• Attempt to reverse engineer the Service
• Use automated systems to access the Service without permission
• Upload malicious content or malware
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Harass, abuse, or harm others through the Service
• Circumvent usage limits or access controls

4.3 Content Restrictions

You may not upload or share content that:

• Is illegal, harmful, or threatening
• Infringes copyrights or trademarks
• Contains personal data without consent
• Violates privacy or confidentiality obligations

5. Intellectual Property

5.1 Our Property

• The Service, including software, design, and branding, is owned by AgendaIQ
• You receive a limited, non-exclusive license to use the Service
• You may not copy, modify, or distribute our intellectual property

5.2 Your Content

• You retain ownership of content you create
• You grant us a license to host, display, and process your content to provide the Service
• This license terminates when you delete your content or account

5.3 Feedback

Any feedback or suggestions you provide may be used by us without obligation.

6. Third-Party Integrations

6.1 Google Workspace

• Use is subject to Google's Terms of Service
• You authorize data sync as specified in our Privacy Policy
• We comply with Google API Services User Data Policy

6.2 Microsoft 365

• Use is subject to Microsoft Services Agreement
• You authorize data sync as specified in our Privacy Policy

6.3 Liability

We are not responsible for third-party service availability or changes.

7. Subscription and Billing

7.1 Pricing

• Current pricing available at agendaiq.com/pricing
• Prices may change with 30 days notice
• Existing subscriptions honored until renewal

7.2 Payment Terms

• Subscriptions billed in advance (monthly or annually)
• Payment due upon invoice
• Late payments may result in service suspension

7.3 Refunds

• 14-day money-back guarantee for new subscriptions
• Pro-rata refunds for annual plans cancelled within 30 days
• No refunds for partial months

7.4 Free Trial

• Trial periods as advertised
• Full feature access during trial
• Automatic conversion to paid plan unless cancelled

8. Service Level Agreement (SLA)

8.1 Uptime Commitment

8.2 Exclusions

SLA does not cover:

• Scheduled maintenance (notified 48 hours in advance)
• Third-party service outages
• Force majeure events
• Customer-caused issues

8.3 Support Response Times

9. Data Protection

9.1 Security

We implement industry-standard security measures as described in our Privacy Policy.

9.2 Data Processing

For organizations subject to GDPR, we offer a Data Processing Agreement (DPA) upon request.

9.3 Data Ownership

• You own your data
• We process data only to provide the Service
• You can export or delete your data at any time

9.4 Backups

• Daily backups retained for 30 days
• Point-in-time recovery available (Enterprise)

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components

11. Limitation of Liability

11.1 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

• Amounts paid by you in the 12 months preceding the claim, OR
• $100 USD

11.2 Exclusion of Damages

WE ARE NOT LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages from third-party services or integrations

11.3 Exceptions

These limitations do not apply to:

• Our gross negligence or willful misconduct
• Death or personal injury from our negligence
• Fraud or fraudulent misrepresentation

12. Indemnification

You agree to indemnify and hold harmless AgendaIQ from claims arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or share

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Delaware, USA, without regard to conflict of law principles.

13.2 Arbitration

Disputes shall be resolved by binding arbitration under AAA rules, except:

• Claims for injunctive relief
• Small claims court matters

13.3 Class Action Waiver

You waive the right to participate in class actions or class arbitration.

13.4 Venue

Any litigation shall be conducted in Delaware courts.

14. Changes to Terms

We may modify these Terms at any time. Changes will be:

• Posted on this page
• Notified via email for material changes
• Effective 30 days after posting (or immediately for security issues)

Continued use constitutes acceptance of modified Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement.

15.2 Severability

If any provision is unenforceable, the remaining provisions continue in effect.

15.3 Waiver

Failure to enforce a provision does not waive future enforcement.

15.4 Assignment

You may not assign these Terms without our consent. We may assign freely.

15.5 Force Majeure

We are not liable for delays due to circumstances beyond our control.
